| Document version | 1.0 |
Purpose
This Agreement defines the provider’s independent-business status, service responsibilities, licensing and insurance obligations, Stripe Connect payment responsibilities, conduct requirements, and use of client information.
1 Agreement and scope
This Service Provider Agreement is between ReStart Connect LLC (“ReStart,” “we,” “us,” or “our”) and the person or business registering to offer services (“Provider”). It applies to Provider’s account, listings, communications, bookings, services, and payment activity.
By checking the acceptance box or offering services after this Agreement is presented, Provider confirms that Provider has read and agrees to this Agreement and the Service Provider Privacy Policy.
2 Platform relationship
ReStart provides technology that helps independent providers and prospective clients find one another, communicate, schedule services, and use available payment tools. Provider, not ReStart, offers and performs the listed services. Each accepted engagement creates a direct service relationship between Provider and the client.
Provider is not an employee, agent, partner, franchisee, joint venturer, or representative of ReStart. Provider has no authority to bind ReStart, incur obligations for ReStart, or make promises on ReStart’s behalf.
3 Eligibility and authority
Provider must be at least 18 years old, legally capable of entering into contracts, and legally authorized to perform every listed service. If Provider registers for a company, Provider represents that Provider has authority to bind that company.
Provider must submit accurate identity, business, tax, licensing, insurance, bank, and contact information and must promptly update that information when it changes.
4 Independent business
Subject to applicable law, Provider independently chooses which opportunities to accept, when and where to work, how services will be performed, what lawful rates to charge, and what equipment or assistance is required. ReStart does not guarantee opportunities, hours, earnings, customers, or territory.
Provider may use other platforms and serve other customers. Provider is responsible for Provider’s business expenses, personnel, methods, tools, insurance, permits, records, and legal compliance.
5 Provider obligations
Provider must:
- Describe qualifications, services, prices, availability, and limitations accurately.
- Perform accepted services safely, lawfully, professionally, and according to the agreement with the client.
- Obtain and maintain every applicable license, registration, permit, certification, and insurance policy.
- Provide required written estimates, contracts, disclosures, invoices, notices, warranties, and cancellation rights.
- Comply with tax, labor, licensing, safety, accessibility, nondiscrimination, and consumer-protection laws.
- Supervise and remain responsible for any lawful employee, assistant, or subcontractor used by Provider.
- Promptly address complaints, defective work, property damage, injury, cancellations, refunds, and warranties.
6 Client agreements
Before beginning work, Provider must clearly agree with the client on Provider’s legal or business identity, scope of work, price or pricing method, additional charges, timing, materials, permits, cancellation and refund terms, and applicable warranties. Provider must use any written contract required by law.
Provider must identify itself as an independent service provider using ReStart and may not imply that ReStart employs, licenses, recommends, warrants, or supervises Provider.
7 Stripe Connect and payments
To receive in-app payments, Provider must establish and maintain a verified Stripe connected account and accept Stripe’s applicable agreements. Provider authorizes ReStart and Stripe to facilitate payments connected with accepted services.
Where direct charges are used, the payment is processed on Provider’s connected account and paid to Provider’s designated bank account. Provider is responsible for accurate onboarding, bank and tax information, processing fees assigned to Provider, refunds, disputes, chargebacks, negative balances, taxes, and reporting obligations.
ReStart does not guarantee payment authorization, settlement, payout timing, or freedom from disputes. ReStart may restrict payment activity when required by Stripe, law, risk controls, or safety concerns. Provider may not use deceptive or unlawful payment practices or ask a client to evade agreed platform safeguards.
8 Taxes and benefits
Provider is responsible for determining and paying taxes associated with Provider’s business and earnings unless applicable law assigns a specific collection or reporting duty to ReStart or the payment processor. ReStart does not withhold payroll taxes and does not provide wages, workers’ compensation, unemployment benefits, health benefits, paid leave, or other employee benefits.
9 Licenses insurance and verification
Provider must maintain all credentials and insurance required for offered services and provide current documentation when requested. Provider must immediately report any expiration, suspension, restriction, cancellation, claim, or revocation that materially affects Provider’s eligibility.
Any identity, credential, or background review conducted through ReStart is a risk-management measure and is not an endorsement or guarantee of Provider.
10 Safety conduct and minors
Provider must treat clients fairly, protect property and confidential information, follow health and safety requirements, and avoid harassment, threats, exploitation, retaliation, and unlawful discrimination.
Provider may not knowingly arrange services directly with a minor. A parent, legal guardian, or authorized adult must request and supervise any permitted service involving a minor. Unless ReStart expressly authorizes a category after appropriate legal and safety review, Provider may not offer childcare, unsupervised transportation of minors, medical treatment, or other high-risk services involving minors.
Provider must follow applicable screening, supervision, and mandatory-reporting laws. Emergencies should be reported to 911 or the appropriate authority.
11 Messages privacy and client data
Provider consents to ReStart collecting, transmitting, storing, and reviewing platform communications as described in the Service Provider Privacy Policy. Provider may use client information only to evaluate, schedule, perform, document, and support an authorized service or as otherwise permitted by law.
Provider may not sell client information, use it for unrelated marketing, disclose it without authorization, or retain it longer than reasonably necessary. Provider must protect client information and promptly report suspected loss, misuse, or unauthorized access.
12 Blocking reporting and moderation
Provider may block or report users using available controls. ReStart may review reported or flagged content, preserve records, restrict communications, suspend accounts, remove content, and cooperate with lawful authorities. Provider must cooperate with legitimate safety, fraud, abuse, and payment investigations. False or retaliatory reports are prohibited.
13 Prohibited services and conduct
Provider may not use ReStart for:
- Unlicensed regulated work or services Provider is not qualified or legally permitted to perform.
- Fraud, theft, harassment, threats, exploitation, retaliation, discrimination, or deceptive practices.
- Illegal, sexually inappropriate, dangerous, or abusive services or transactions.
- Controlled substances, weapons, stolen property, or other prohibited items.
- Conduct that exploits, sexualizes, endangers, or seeks unauthorized access to a minor or vulnerable person.
- Malware, credential theft, false reviews, false reports, or interference with platform security.
14 Complaints refunds and records
Provider must respond promptly to complaints about Provider’s services, conduct, charges, damage, injuries, warranties, cancellations, and refunds. ReStart may facilitate communication but is not required to inspect work or decide private workmanship disputes.
Provider must maintain records required by law and records reasonably necessary to support transactions, tax reporting, warranties, disputes, and safety investigations.
15 Indemnification
To the extent permitted by law, Provider will defend, indemnify, and hold harmless ReStart Connect LLC and its members, managers, officers, employees, and authorized representatives from third-party claims, losses, liabilities, penalties, damages, and reasonable legal expenses arising from Provider’s services or conduct; Provider’s violation of law or this Agreement; Provider’s personnel or subcontractors; or Provider’s misuse of another person’s property, information, or rights.
This provision does not require Provider to indemnify ReStart for liability caused solely by ReStart’s conduct where applicable law prohibits that indemnification.
16 Suspension and termination
ReStart may investigate, restrict, suspend, or terminate Provider’s access for safety concerns, fraud, expired credentials, excessive disputes, unlawful conduct, nonpayment, or violation of this Agreement. Provider may stop using the platform, but obligations concerning completed transactions, taxes, refunds, disputes, confidentiality, indemnification, and retained records survive as applicable.
17 Disclaimer and limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTART PROVIDES THE PLATFORM “AS IS” AND “AS AVAILABLE” AND DOES NOT GUARANTEE CLIENTS, BOOKINGS, PAYMENTS, EARNINGS, OR SERVICE OUTCOMES.
Nothing in this Agreement excludes an obligation or remedy that applicable law does not permit the parties to waive.
